ARTICLES OF INCORPORATION OF THE SERA KARST TASK FORCE, INC. AN ALABAMA NOT FOR PROFIT CORPORATION

 

 

To the Judge of Probate of Jefferson County, Alabama, the undersigned incorporators hereby file this their Articles of Incorporation of a non-profit corporation as recited herein.

 

1.             The name of the corporation is the SERA Karst Task Force, Inc (SKTF).

 

2.             The period of duration of the corporation is to be perpetual. 

 

3.                   The purposes of the corporation are to include any of those purposes                         

specified in Section 10-3A-1 of the Code of Alabama. THE SKTF is a resource

organization dedicated to karst conservation and the clean up of karst features

and caves, through the education of both the public and caving communities.

 

4.             Members of the corporation consist of one class of member who must be current   

                 members of the National Speleological Society and of one of its’ chapters or  

                 grottos in the Southeastern Region of the National Speleological Society Inc.

                 Members of the Committee include the current SERA Chairman, SERA Vice

                 Chairman, SERA Secretary/Treasurer and six at large SERA members appointed  

                 by the Chairman of SERA for two-year terms, subject to the approval of the

                 Committee.

 

5.                   The SKTF Committee shall have full power to conduct and supervise all business

        of the Committee.

               

6.             Bylaws may be enacted by a simple majority vote of the committee providing

                they do not conflict with these articles.

 

7.            The location of the initial registered office is 800 Shades Creek Parkway, Suite

                850, Birmingham, Jefferson County, Alabama  35209.  The identity and location

                of the initial registered agent is Jay Clark at the above address.

 

8.                  The SKTF Committee constitutes the Board of Directors. The number of the initial

               directors comprising the Board of Directors will be 9. The names and addresses  

               of the initial members of the Board of Directors are:

9.                   The name and address of each of the original incorporators is as follows:

10.          In addition to anything recited above and anything recited in the bylaws of the

                corporation, this non-profit corporation is to have all the powers set out in

                 Section 10-3A section 1 and following of the Code of Alabama.

 

11.         The corporation is strictly a not for profit corporation set up in accordance 
with the guidelines of Section 501C of the Internal Revenue Service 
Code 
and designed solely to perform a civic service without any monetary 
profit being provided to any of the members of the corporation.

 

12.        In the event of the dissolution of the corporation, all assets of the SKTF shall

             revert to The Southeastern Regional Association of the National Speleological

             Society Inc.
