ARTICLE I: NAME
1.1 The name of this not-for-profit corporation is the Southeastern Regional Association Karst
Task Force, Inc. (SKTF).
1.2 The SKTF is a standing committee of the Southeastern Regional Association (SERA) of the
National Speleological Society, Inc. (NSS).
ARTICLE II: PURPOSES
The purposes of the corporation are to include any of those purposes specified in Section 10-3A-1 of theCode of Alabama. THE SKTF is a resource organization dedicated to karst conservation and the clean up of karst features and caves, through the education of both the public and caving communities.
ARTICLE III: MANAGEMENT OF THE SKTF
3.1 At the first meeting of the SKTF Committee following the SERA Winter Business Meeting the
Committee will elect a Chairman, Vice-Chairman, Secretary and Treasurer.
3.2 The SKTF Committee shall have full power to conduct, supervise, and control all business and
finances of the SKTF. The SKTF shall maintain an account separate from that of SERA, the
funds in which shall be supervised and distributed by the SKTF Treasurer and Chairman.
3.3 The number of Committee members will be up to nine.
3.4 Bylaws may be adopted or amended by the SKTF Committee.
3.5 Decisions of the SKTF Committee will be made by majority vote.
3.6 The SKTF Committee will meet no fewer than two times a year. The location and time of the
meetings shall be announced to the region one month in advance and be open to SERA
members.
3.7 The SKTF Committee shall report to the NSS as required.
3.8 The Committee shall compile an annual report for submission at the annual SERA Winter
Business Meeting.
3.9 Proxy votes will not be allowed.
ARTICLE IV: COMMITTEE MEMBERSHIP
Members of the corporation consist of one class of member who must be current members of the National Speleological Society and of one of its’ chapters or grottos in the Southeastern Region of the National Speleological Society, Inc.
Members of the Committee include the current Chairman, Vice Chairman and Secretary/ Treasurer
of SERA and six at large members appointed by the Chairman of SERA for two-year terms, subject to
the approval of the Committee.
ARTICLE V: OFFICER'S RESPONSIBILITIES
The Officers shall have the usual powers of Officers in the administration of the affairs of the SKTF.
Chairman
The Chairman’s duties shall consist of the following:
1. Serves as spokesman for the SKTF.
2. Presides at all meetings.
Vice-Chairman
The Vice-Chairman’s duties shall consist of the following:
1. Acts in the absence of the Chairman.
2. Performs duties assigned by the SKTF Committee.
Secretary
The Secretary’s duties shall include the following:
1. Record and distribute the minutes of all meetings of SKTF Committee.
2. Records, maintains, distributes list of votes.
3. Records and maintains records of SKTF activities.
Treasurer
The Treasurer's duties shall include the following:
1. Maintains an inventory of supplies.
2. Prepares and distributes financial records and reports.
3. Supervises the preparation and submittal of financial documents.
ARTICLE VI: REPLACEMENT OF SKTF COMMITTEE MEMBERS
Members of the SKTF Committee may be replaced or removed by a two-thirds majority vote of the remaining Committee members.
ARTICLE VII: DISSOLUTION
In the event of the dissolution of the corporation, all assets of the SKTF shall revert to The Southeastern Regional Association of the National Speleological Society Inc.
